As of 1 January 2026, the euro is the official currency in Bulgaria. For businesses, this change goes beyond payment systems and accounting. It also creates specific legal obligations regarding companies’ constitutional and corporate documents.
The articles of association, by-laws, and founding deeds of most companies contain capital, shares, equity interests, and internal rules expressed in Bulgarian leva. Following the introduction of the euro, these amounts no longer correspond to the applicable currency. Although the law provides for automatic conversion in the Commercial Register, corporate documents are not updated ex officio. They must be expressly brought into compliance.
In practice, the recalculation of share capital often results in fractional amounts, changes in the nominal value of shares, and the need for rounding. In many cases, this affects internal ownership ratios, decision-making rules, and profit distribution mechanisms. For this reason, the process is not merely formal, but requires careful legal and corporate analysis.
The new rules apply to all companies with registered share capital, regardless of their size, business activity, or current operational status. Every company registered in the Commercial Register falls within the scope of this obligation.
The adaptation process typically includes:
- review of the existing corporate documents and identification of all amounts denominated in leva;
- conversion into euro and analysis of the capital structure;
- adoption of a resolution by the competent corporate body;
- preparation of an updated version of the articles of association or by-laws;
- filing and publication in the Commercial Register.
Without registration, the changes have no effect vis-à-vis third parties.
The law provides for a transitional period of one year from the introduction of the euro, during which companies must bring their documents into compliance – i.e. by the end of 2026. After this deadline, non-compliance may lead to administrative sanctions and significant practical difficulties.
