Competition Law
We assist companies, investors and market participants in all key matters related to the protection of competition, lawful market conduct, merger control and proceedings before the Commission for Protection of Competition and the courts. We provide legal support both in the preliminary assessment of risks and compliance of business conduct with competition rules, and in the protection of clients in administrative and judicial proceedings.
We provide legal assistance in cases of unfair competition, including conduct contrary to fair commercial practice that harms or threatens the client’s interests. We assist in matters involving misleading conduct, misleading or comparative advertising, imitation, unlawful use of business reputation, unfair diversion of customers and conduct damaging a trader’s good name. We also assist in matters involving unlawful acquisition, use or disclosure of trade and manufacturing secrets, as well as in the preparation of complaints, legal opinions and procedural defence in relation to such infringements.
We advise and represent clients in matters involving abuse of dominant position and abuse of stronger bargaining position. We assist in cases involving the imposition of unfair or discriminatory trading conditions, unjustified refusal to supply goods or provide services, limitation of production, trade or technical development to the detriment of competitors or consumers, as well as unjustified termination of commercial relations. We also assist in situations where economic dependence or market power is used to impose additional obligations, burdensome terms or other practices placing the client in an unfavourable position.
We provide legal assistance in transactions and restructurings that may constitute a concentration between undertakings within the meaning of the applicable legislation. We assist in assessing whether a specific transaction is subject to clearance by the Commission for Protection of Competition, as well as in preparing the required documentation and providing procedural representation in the relevant proceedings. We advise on mergers, absorptions, acquisitions, creation of joint ventures and other forms of change of control, taking into account the structure of the transaction under competition law and the related regulatory requirements.
We provide procedural representation in proceedings before the Commission for Protection of Competition, including the filing of requests, complaints, signals, legal opinions, objections and evidence, as well as defence of the client in pending proceedings. We assist both persons whose interests are affected or threatened by an infringement of competition rules and clients against whom proceedings have been initiated before the Commission. Where necessary, we also act in judicial appeals against acts of the Commission for Protection of Competition before the Supreme Administrative Court, including in cases involving pecuniary sanctions, fines and other adverse consequences, as well as in requests for annulment or reduction of imposed sanctions.
